Terms of Service & Acceptable Use Policy

1. Services & Infrastructure Provisioning
CloudGUI Technologies ("Company", "we", "us", or "our") provides managed cloud computing (AWS EC2 Graviton3 instances), Route 53 DNS zone management, domain name registration via accredited registrars, SSL encryption, and 1-click developer stacks to enterprises, startups, and developers. All cloud computing infrastructure is physically provisioned in Sovereign Indian Data Centers (AWS Mumbai ap-south-1 and AWS Hyderabad ap-south-2).
2. Technical Intermediary Status & Safe Harbor (IT Act 2000, Section 79)
CloudGUI Technologies operates strictly as a Technical Cloud Intermediary providing transient infrastructure, compute power, and data routing under Section 79 of the Indian Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
The Company does not initiate transmissions, does not select the receiver of transmissions, and does not select or modify the information contained in customer instances. The customer is solely responsible for all applications, software, content, and data uploaded or executed on their instances.
3. Strict Acceptable Use Policy (Zero-Tolerance Violations)
Customers agree never to utilize CloudGUI infrastructure for unlawful activities. The following activities will trigger immediate instance termination without refund:
- Cyber Attacks: Launching Distributed Denial of Service (DDoS), port scanning, or vulnerability probing.
- Malware & Phishing: Distributing trojans, spyware, ransomware, or counterfeit financial login portals.
- Unauthorized Cryptomining: Unapproved GPU/CPU cryptocurrency mining on standard cloud compute instances.
- Illegal Gambling & Prohibited Content: Hosting unapproved betting/gambling platforms or content prohibited under Indian law.
- Spam Broadcasting: Unsolicited mass email campaigns violating Indian or international anti-spam regulations.
4. CERT-In Mandatory Cyber Security Directives (180-Day Audit Logging)
In strict adherence to Indian Computer Emergency Response Team (CERT-In) Order No. 20(3)/2022-CERT-In under Section 70B of the IT Act, CloudGUI maintains secure, encrypted subscriber access logs, IP assignment logs, and authentication records for an immutable duration of 180 days. These logs are maintained exclusively for cyber forensics and statutory compliance.
5. Billing, 18% GST (SAC 998315) & Consumption Policy
All prices are billed in Indian Rupees (₹ INR). Every invoice issued includes SAC Code 998315 (Hosting and Information Technology Infrastructure Services) and itemized 18% GST (9% CGST + 9% SGST for Tamil Nadu, or 18% IGST for other states).
Wallet & Consumption Terms: Prepaid wallet balances used to provision hourly compute resources, registry domain purchases, or SSL licenses are non-refundable once consumed at the AWS or Registry tier.
6. Limitation of Liability & Service Credits
To the maximum extent permitted by Indian law, CloudGUI Technologies shall not be liable for indirect, incidental, or consequential damages resulting from downtime or data loss. The Company's aggregate liability for any claim shall strictly be limited to the total fees paid by the customer for the affected service in the preceding thirty (30) days.
7. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. The courts of Coimbatore / Pollachi, Tamil Nadu, India shall have exclusive jurisdiction over any legal disputes arising hereunder.
